Terms of Service


  • It is the client's responsibility to read all the terms listed below.

  • In entering into an agreement with Ani "DoodleSprout" Ackerman (henceforth referred to simply as "the artist"), you (henceforth referred to interchangably as "the commissioner" and/or "the client") agree to abide by the terms of this agreement, as well as any additional terms laid out in separate contracts or agreements accepted by both parties at the time of said agreement's creation.

  • For the purposes of this document, “work,” “commission,” “project,” “art,” and “artwork” refer to the item or service that the commissioner is soliciting from the artist, “deliverable” refers to the completed file(s) to be delivered to the client upon the completion of the project, “work-in-progress” is defined as any part of the creative process leading to the completion of the commission, and “TOS” may be used in place of “Terms of Service”.

  • The artist retains the right to change and alter the "Terms of Service" at any time. If a client already paid, they will be held under the "Terms of Service" that was available at the time of payment.

General Terms


  • The artist retains the right to reject or deny your commission.

  • The client must be above the age of 18.

  • Communication will be through email, discord, or VGEN ONLY and should be kept polite, appropriate, and concise. If communication fails to meet this standard at anytime, the artist reserves their right to cancel a commission request, regardless of commission status.

  • All privacy needs / NDAs / deadlines must be discussed with the artist before payment occurs.

  • The artist retains the right to use a client's commission to showcase or promote themselves unless a fee is discussed with and paid by the client.

  • The artist retains the right to stream all artwork on my twitch and your art will be seen by my audience unless a privacy fee is discussed and paid by the client.

  • All private or NDA work will be subjected to an NDA or privacy fee.

  • All deadlines must be discussed with the artist before payment occurs. If you need to initiate a deadline while the work is already in progress you must still pay a rush fee before that deadline will be met.

  • Work that requires strict deadlines may be subjected to a priority fee AND a rush fee.

  • The client acknowledges that the project and its deliverables are digital, with no physical item to be received.

Process


  1. Once you submit a request the artist goes over it.

  2. The artist will email/discord DM you within one week to go over your commission. At this point the client will need to submit photo references and explain what they are looking for. If the client needs EXACT HEX CODES make sure to explain that here. If the client does not have sufficient references for their request a design fee will be required. This fee ranges from $100-$800.

  3. Once the client and artist decides on exact prices over a discord call, google meet call, direct message, or email, the artist will send you an invoice on PayPal or Stripe. At this point in the discussion payment plans can be discussed and decided upon. No deliverable will be supplied without a payment being paid off in full.

  4. Once you have paid at least 5% your name will be listed in the commission queue on this website.

  5. Once the invoice is at least 50% paid, the artist will begin your commission.

  6. The sketch phase begins. The client will be sent progress photos from the sketch phase. At this point the client can ask for any major changes such as posing, details, and anything that needs to be added. After this point, an extra payment will be needed to make ANY character pose changes. If approved the artist moves on to the final lineart and coloring phase.

  7. The artist will send you an image of the flat colors for your commission. This is the phase where any color changes you need can be accounted for. After the commission is delivered, a color can always be changed by re-entering the commission queue and requesting a simple color change to a prior commission. (ie. hair color changes to older emotes.) If approved, the artist moves on to the finishing phase.

  8. During the finishing phase no major revisions will be accepted without an extra fee. The artist will work diligently to complete your commission.

  9. When completed the artist will email or discord dm a .zip file of all the client's deliverables. These will be at 300 dpi and the canvas size that was decided on in #2. The RAW working files (.psd, .clip, or .aseprite) will not be delivered unless there was is an agreement for purchase between both parties.

  10. Any changes needed after the files have been delivered will require the client to re-enter the commission queue and submit a request form again. These changes are welcomed by the artist but do require further payment.


  • All commissions and work will follow the above work flow except for SKEB-like commissions. THERE ARE FEW IF ANY REVISIONS ON SKEB-LIKE COMMISSIONS. The client should be extremely clear in their request to ensure their desired result. The sketch phase will still be sent to the client for approval but that is all.

  • The timeline for projects can vary greatly. The artist agrees that there will be regular (at least monthly) communication with the client. As long as communication is regular, the client may assume that things are moving forward as intended.

  • The client will be given an opportunity to revise and ask for changes along the entire process (listed above) and the artist reserves the right to charge extra fees if big changes are asked for in the final stages.

  • The artist reserves the right to decide what a "big change" is or isn't.

Payment


  • Payments outside of VGEN will be made over PayPal or Stripe invoiced in USD.

  • Payments made over PayPal will include a tax fee of 10%. This fee must be paid IN FULL to start the art process.

  • Rush fees/NDA fees/privacy fees must be paid IN FULL before any work can be started.

  • The invoice needs to be at least 10% paid to save the client's spot in the work queue.

  • 50% must of the invoice must be paid before any work can be started.

  • If an invoice is left unpaid at 0% for more than 15 days that invoice will be voided and the client must reapply for a commission slot. The quoted amount given in the original invoice will no longer be valid.

  • If the client cancels a commission anytime while the initial sketch is being worked on, they are entitled to a refund of 75% of the amount that has been paid at that point.

  • If the client is unhappy with the initial sketch they may request a refund of 50% of the amount that has been paid at that point.

  • If work is done in any capacity after the sketch phase the payment is 100% non-refundable.

  • If the client is unresponsive to dms and will not respond to any of the artist's attempt to contact them, their commission will be cancelled and they will recieve an 80% refund if the sketch phase has not been accepted and a 0% refund if the sketch phase has already been accepted.

Use agreement


Unless otherwise agreed upon, all commissions will be for personal use ONLY. The client agrees to not sell the work as merchandise, adoptables, or used in a commercial setting. Clients who wish to use the work in this capacity can expect around a 100-200% upcharge.Examples of permitted non-commercial uses:

  • Posting on social media

  • Profile pictures

  • Use in streams as an asset

  • Printing a copy of the image for hanging up at home

If used on social media, the client must credit the artist in some capacity. This must be in a bio or in an about section, or if used on a singular post make sure to reply with an @ of the artist's handle on that platform or a link to this website. (doodlesprout.net)Non-exhaustive list with examples of prohibited use with a personal-use license:

  • Uploading to ‘in-demand’ applications, such as create-on-demand and print-on-demand services, regardless of commercial or non-commercial use intention

  • Attempting to trademark ANY part of the commission. No part or whole of the work-in-progress, or of any of the deliverable(s), may be used for a trade mark, design mark, word mark, service mark, logo, etc.

  • Use in paid advertising, printed or digital, for commercial or non-commercial purposes

  • Use in (internal or external) presentations or newsletters for any business

  • Use on ANY piece of merchandise including (but not limited to) apparel, stationary, technology, kitchenware, or anything containing a depiction of the work

If the client makes money directly using the work they will need to purchase a commercial use license.These licenses must be agreed upon between both parties in a separate contract before any commercial use can begin.


  • If the client wishes to print the work on distributed items (ie. free stickers, free postcards, business cards) they are permitted to do so by paying a distribution fee that must be agreed upon between the artist and the client before anything is printed or distributed.

  • The client always retains the right to their Original Characters but does not own the image of the artwork itself.

  • By making a commission request, the commissioner assumes any responsibility associated with ownership AND/OR proper licensing for the rights to the intellectual property associated with the solicited project. Fanart cannot be completed under a commercial commission because of this limitation.

  • At NO POINT may the client claim credit for the creation of the work, ownership of the copyright of the work, or ownership of any rights to the work that were not expressly agreed upon nor subsequently sold to them


PROHIBITED USAGE:

  • Changing the hue, value, or intensity of the colors of the work

  • Changing any lineweight or altering the silhouette of the work in any way

  • Combining the work with any kind of text or graphical elements on, or around the work.

PLEASE NOTE:

  • If any changes or alterations are desired, the commissioner MUST contact the artist and make a request for alterations at additional cost. The artist may deny the request based on time, availability, complexity, or for any other reason. If the request for alterations is denied, the client may NOT make an agreement with any third party (with or without an agreement for pay) to make the desired changes.

MACHINE LEARNING, NON-FUNGIBLE TOKENS, CRYPTOCURRENCY


For the purpose of this section, “AI” stands for “artificial intelligence” and refers to machine learning used for any purpose, including, but not limited use specifically for the purpose of generative output, and “NFT” stands for “non-fungible token”.

  • The client may NOT use any work-in-progress, finished artwork, or file associated with this project in ANY way for blockchain technology, machine learning, any future inventions or iterations on blockchain technology AND/OR machine learning, or anything the artist would reasonably associate with these technologies (in the instance of a dispute arising, both parties agree to default to the artist’s definition of the aforementioned “reasonable association”).

  • NO past, prospective, or current client may order art ON BEHALF of any party which participates in the production/handling of NFTs, generative art, or anything the artist would reasonably associate with these technologies.

  • Failure to disclose usage of artwork for NFT's, crypto-currency, machine learning, or anything the artist would reasonably associate with these technologies will result in blacklisting of future artworks, cut off communication from the artist, revoked rights to ANY AND ALL artwork (personal or commercial) made at any point, past or present, for the client. In the instance of a dispute arising, both parties agree to default to the artist’s definition of the aforementioned “reasonable association”.

  • In the instance that this agreement is violated, the client acknowledges the artist’s right to use whatever legal means are at the artist’s disposal to demand and retrieve the reparations deemed appropriate by the artist for said violation

By submitting a commission form, you, the client, are making an acknowledgement that you understand & agree to ALL of the above terms & that you're willing to accept full responsibility if said terms are violated.
